CONSTITUTION OF THE SOUTHERN ONTARIO CHAPTER OF THE AMERICAN STATISTICAL ASSOCIATION AND THE SOUTHERN ONTARIO REGIONAL ASSOCIATION OF THE STATISTICAL SOCIETY OF CANADA

Amendments to Article VII were approved by the 2005 AGM but are subject to approval by the ASA and the SSC.

ARTICLE I - Name

This organization shall be known as the Southern Ontario Chapter of the American Statistical Association and the Southern Ontario Regional Association of the Statistical Society of Canada (SORA).

ARTICLE II - Purpose

The purpose of this organization shall be to foster in the broadest manner statistics and its applications, and to promote unity and effectiveness of effort among all groups in the Southern Ontario area having an interest in or being concerned with statistical problems.

ARTICLE III - Membership

The membership of this organization shall consist of two classes:

1. Full members: Persons holding membership in the American Statistical Association or the Statistical Society of Canada and who have paid the Southern Ontario Chapter annual dues through the American Statistical Association or the Southern Ontario Regional Association annual dues through the Statistical Society of Canada.

2. Associate members: Persons interested in statistics in general or the organization in particular, but who are not members of either the American Statistical Association or the Statistical Society of Canada. Persons wishing to become associate members shall make application to the Executive Committee of the organization and pay their annual dues directly to the Secretary/Treasurer.

ARTICLE IV - Officers

The officers of the organization shall be the American Statistical Association Southern Ontario Chapter President, the Statistical Society of Canada Southern Ontario Regional Association President, the Secretary/Treasurer and the American Statistical Association Council of Chapters Representative. All officers must be members of the American Statistical Association, with the exception of the Statistical Society of Canada Southern Ontario Regional Association President, who must be a member of the Statistical Society of Canada. No one person may hold more than two of these posts at the same time.

All officers of the organization shall be duly elected by the members of the organization, with the exception of the American Statistical Association Council of Chapters Representative, who shall be appointed by the Executive Committee. The election of officers shall take place at the annual business meeting of the organization. Officers shall be elected or appointed, as the case may be, for three-year terms. In the event of a vacancy, the Executive Committee shall appoint a suitably qualified member of the organization to serve for the remaining portion of that term.

ARTICLE V - Executive Committee

The Executive Committee, which shall number not more than ten members of the organization, shall consist of the officers mentioned in Article IV, the Chair of each of the standing committees and such other members as may be appointed by the Executive Committee. Meetings of the Executive Committee shall be held whenever called by American Statistical Association Southern Ontario Chapter President or the Statistical Society of Canada Southern Ontario Regional Association President, or requested by a majority of the Executive Committee members.

ARTICLE VI - Committees

The Committees of the organization shall consist of such standing committees as may be appointed by the Executive Committee and such special committees as may be appointed by the Presidents. Members of the standing committees shall be appointed by their Chairs, with the unanimous approval of the Presidents, and shall serve until their successors are appointed.

ARTICLE VII - Meetings

There shall be three or more regular meetings each year, including an annual business meeting, during which the election of officers shall be held and the dues for the next year shall be set. The annual business meeting is to be held in conjunction with Southern Ontario, at or before the annual meeting of the Statistical Society of Canada.

ARTICLE VIII - National Constitution and By-Laws

Any and all provisions of the Constitution of the American Statistical Association and the By-Laws of the Statistical Society of Canada shall be considered included herein for use where applicable and necessary.

ARTICLE IX - Amendments

This Constitution may be amended by an affirmative 2/3 (two-thirds) vote of the members present at any meeting of this organization, provided notices of such meeting and of the proposed amendment shall have been sent to each member at least two weeks before the date of the meeting in which the proposed amendment is to be voted upon; or by the action of the Board of Directors of the American Statistical Association or the Board of Directors of the Statistical Society of Canada.

ARTICLE X - Dissolution

In the event of dissolution of the Chapter or the Regional Association, any remaining assets assigned to the organization shall revert to the general assets of the Statistical Society of Canada.
